Terms of Service

These terms govern your use of the BizNerve platform. By using the service you agree to them.

1. The service

BizNerve provides software that operates AI agents on your business messaging and, where enabled, telephony channels. What is included depends on the plan you subscribe to.

2. Your account

  • You must provide accurate business and contact information and keep it current.
  • You are responsible for your login credentials and for activity under your account.
  • You must tell us promptly if you believe your account has been accessed without authorisation.
  • The service is for business use. It is not offered to individuals under 18.

3. Your content and your customers’ data

Your catalogue, price lists, documents and conversation history remain yours. You grant us only the licence needed to operate the service for you — storing it, processing it and passing the necessary parts to the providers listed in our Privacy Policy.

You confirm that:

  • you have the right to upload the content you give us;
  • you have a lawful basis for messaging the people you message through the platform, including any consent required;
  • you will comply with Meta’s WhatsApp Business policies and applicable telecom regulation.

4. Acceptable use

You may not use the service to:

  • send unsolicited bulk messages to people who have not consented to hear from you;
  • send unlawful, deceptive, harassing or misleading content;
  • impersonate another business or person;
  • circumvent DND registers, calling-hour restrictions or any other regulatory control;
  • attempt to access another customer’s data, or probe or disrupt the platform;
  • resell or white-label the service without a written agreement with us.

We may suspend an account immediately where use of it puts our WhatsApp Business Solution Provider relationship, our telephony access or other customers at risk.

5. AI-generated responses

The agent generates replies automatically. It is configured from the material you supply and instructed to escalate to a human rather than guess, but automated systems can still produce an incorrect or unsuitable response.

You are responsible for reviewing your agent’s configuration, for setting the topics that must always reach a human, and for monitoring conversations — all of which are visible to you in your dashboard. Do not configure the agent to give medical, legal or financial advice.

6. Third-party charges

Meta charges per WhatsApp conversation, and telephony providers charge per call minute. These are billed to you at cost, itemised separately from your subscription. Third parties set their own rates and may change them.

7. Fees and billing

  • Subscription fees are billed in advance, monthly or annually as you choose.
  • All fees are exclusive of GST, which is added at the prevailing rate.
  • Usage-based charges are billed in arrears.
  • We may suspend service on accounts more than 15 days overdue, after notifying you.
  • We will give at least 30 days’ notice before changing subscription prices.

8. Availability

We work to keep the platform available continuously, but we do not offer a guaranteed uptime percentage on standard plans. Planned maintenance will be notified in advance where practical. Parts of the service depend on third parties — Meta, BSPs, telecom operators and AI providers — whose outages are outside our control.

9. Termination

  • You may cancel at any time, effective at the end of your current billing cycle.
  • Annual plans are not refunded pro rata on cancellation — see our Refund Policy.
  • We may terminate for material breach of these terms, with notice and a chance to remedy where the breach can be remedied.
  • On termination we will export your data to you on request and then delete it, other than what we must retain by law.

10. Liability

To the extent permitted by law, our total liability arising from the service in any 12-month period is limited to the subscription fees you paid us in that period. We are not liable for indirect or consequential loss, including lost profits, lost business or lost data, or for the acts of third-party providers.

Nothing here limits liability that cannot be limited under Indian law.

11. Changes to these terms

We may update these terms. Material changes will be notified by email at least 30 days before they take effect. Continuing to use the service after that constitutes acceptance.

12. Governing law

These terms are governed by the laws of India, and the courts of Mumbai, Maharashtra have exclusive jurisdiction.
